5. Payment Terms

• Pricing & Quotes: Prices for services are provided in written proposals or invoices. Quotes are valid for 30 days unless otherwise stated.

• Late Payments: Payments not received by the due date may result in service suspension or additional late fees.

• Refunds: Due to the nature of AI consultancy services, refunds are generally not provided. However, we may offer adjustments at our discretion if a service does not meet agreed-upon deliverables.

6. Intellectual Property Rights

• Client’s Content: Any data, documents, or information provided by the Client remain their intellectual property.

• AIAIO’s Work: AI models, automation workflows, and integrations developed by AIAIO may be proprietary or built on third-party platforms. Unless agreed otherwise, AIAIO retains ownership of reusable templates, workflows, and automation frameworks.

• License: Upon full payment, AIAIO grants the Client a non-exclusive, non-transferable license to use deliverables for their intended business purpose.

7. Client Responsibilities

To ensure a successful project, the Client agrees to:

• Provide accurate and timely information.

• Respond to queries within reasonable timeframes.

• Use AI tools responsibly and in compliance with applicable laws.

AIAIO is not responsible for project delays caused by the Client’s failure to provide necessary input.

8. Confidentiality & Data Protection

• Both parties agree to keep sensitive business and project-related information confidential.

• AIAIO follows strict data protection policies, but we do not guarantee absolute security for data shared over the internet.

• Any third-party tools or software used in AI solutions may have their own privacy policies, which Clients should review.

9. Limitations of Liability

• AIAIO provides services “as is” without warranties of any kind, express or implied.

• We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.

• Maximum liability for any claim shall not exceed the total fees paid by the Client for the service in question.

10. Indemnification

The Client agrees to indemnify and hold AIAIO harmless from any claims, losses, damages, liabilities, or legal fees arising from:

• Misuse of AI tools or automation solutions.

• Violations of third-party terms when using integrated services.

• Breach of these Terms by the Client.

11. Third-Party Tools & Services

• AIAIO may integrate or recommend third-party AI tools (e.g., Make.com, Cassidy.ai, chatbots).

• We do not control or guarantee the performance, security, or compliance of third-party services.

• Clients are responsible for reviewing and agreeing to third-party terms before using such tools.

12. Termination & Suspension

AIAIO reserves the right to suspend or terminate services if:

• The Client violates these Terms.

• Payment obligations are not met.

• The Client engages in unethical, illegal, or abusive behaviour.

Either party may terminate a contract with 7 days’ written notice, subject to any cancellation fees outlined in service agreements.

13. Dispute Resolution

• We encourage resolving disputes amicably through direct communication.

• If unresolved, disputes will be handled through mediation before pursuing legal action.

• Governing law will be British Common Law.

14. Updates to These Terms

AIAIO may update these Terms from time to time. Any changes will be posted on our website with an updated effective date. Continued use of our services implies acceptance of the revised Terms.
